Mark Alcorn - The Top Ten Signs of a Dysfunctional Board

This will be a review of the most common behaviors and circumstances indicative of board dysfunction, such as power struggles, vote counting prior to a meeting and board micromanagement. We will discuss identifying these characteristics, how they are harmful, and how to respond to them from a legal and managerial standpoint.
Mark Alcorn is principal of Alcorn & Associates, a law and management consulting firm specializing in the association industry. Based in Sacramento, California, Mark counsels numerous associations and for-profit firms on business, tax, antitrust, management and related matters. Alcorn & Associates is now in its 13^th year of business. Mark was formerly associate executive director of the California Dental Association, a private business law practitioner, and an in-house lawyer for an international electronics manufacturing firm. He holds a law degree and a master’s degree in business administration, and is a member of the State Bar of California.
